MASTER DEFINITIONS

The following defined terms apply across all documents unless otherwise stated.


HGC: Hill Global Consulting.


Client: any individual or entity that engages HGC for coordination or advisory-related Services pursuant to an Engagement Agreement.


User: any individual who accesses or uses the Website or Services.


Partners: independent third-party service providers vetted and engaged by HGC to deliver specialized services to Clients.


Services: the coordination, facilitation, advisory support, oversight, and related administrative services provided by HGC.


Website: HGC’s publicly accessible website located at www.hill-global-consulting.com and related digital interfaces.


Personal Information: information that identifies, relates to, describes, or could reasonably be linked to an individual.


Incorporated Policies: the Business Relationship Disclosure, Privacy Policy, Data Security Notice, and Electronic Communications Policy, each incorporated by reference into the Terms of Use.


Affiliates: entities under common ownership or control with HGC, if any.


Project: a structured combination of coordinated services necessary for a Client to achieve a defined objective. A Project may include multiple service components (e.g., legal, accounting, marketing, operational services) bundled together with clearly itemized costs.


Engagement Agreement: a separate written contract between HGC and a Client governing specific Project-related Services. Engagement Agreements control over the Terms of Use solely with respect to Project-specific matters.


Stages: defined phases of a Project as outlined in the applicable Engagement Agreement. Each Stage includes specific deliverables or milestones as contractually described.


Refund: the return of fees paid by a Client to HGC, including coordination fees and applicable Partner fees, where termination results from HGC’s inability to complete the Project, subject to the Force Majeure provisions set forth in the Terms of Use.


Managing Partner: HGC’s project coordination designation. This role does not create a legal partnership, joint venture, agency, employment relationship, or ownership interest between HGC and any Partner.
